Corporate Account Opening Requirements in Uganda: URSB Documents, Beneficial Owners and Signatories

Short answer: For a company account in Uganda, regulation 21 of the AML Regulations 2015 asks for proof of registration and the registration number, a certified authorisation to open the account, the people who manage, control or own the company, and financial statements and a TIN where applicable. Banks compare the documents with URSB's records and identify beneficial owners, using Bank of Uganda's 5% shareholding marker.

This guide is for account-opening, compliance and relationship teams at banks, microfinance deposit-taking institutions (MDIs) and SACCOs in Uganda that open accounts for companies and other bodies. This is a practical guide, not legal advice; confirm requirements with your supervisor (Bank of Uganda or UMRA) or adviser. Checked against primary sources on 9 October 2026.

Creodata makes BAOS, account opening software for Ugandan banks; near the end we say what it records and what it leaves to others.

What does the law require for a company account?

Regulation 21(1) of the AML Regulations 2015 lists what to obtain from a local entity:

  • its registered name and address, and any trade name;
  • proof of registration or incorporation, and its number;
  • "a certified copy of written authorisation permitting the entity or body to open an account";
  • the name, date of birth, ID or passport number and address of the natural persons who manage, control or own it;
  • audited or unaudited financial statements, where applicable;
  • a TIN, where applicable;
  • a letter from its previous bank, in appropriate cases.

Regulation 21(2) then requires verification by "(a) comparing the incorporation documents with those held by the Registrar of Companies; (b) physically verifying the location of the head office or other place of business", and by independently verifying directors, senior management, shareholders and authorised persons. Where that is impracticable, use other reliable sources (reg 21(3)).

The older 2010 BoU AML Regulations, still published, add a board resolution, a "result of a search of the file of the company at the Companies Registry" and IDs of principal shareholders, at least two directors and all signatories (Schedule 1). Parts of them are out of date, so base your policy on reg 21.

What URSB issues for a company

Under the Companies Act 2012 as amended in 2022 (2012 numbering), the registrar at the Uganda Registration Services Bureau (URSB) "shall register the company and assign it a registration number" (s.4(1a)) and issues a certificate "that the company is incorporated" (s.4(1b)). The number must appear "on all its official documents" (s.4(1d)), and the articles are registered (s.7A).

A firm trading under a name other than the partners' names registers it under the Business Names Registration Act, and an LLP gets a certificate of registration (Partnerships Act 2010 ss.4(1), 50(2)).

How do you check a company with URSB?

URSB's "Search URSB registries" page offers:

  • a free name search on its Online Business Registration System (OBRS);
  • a paid "Business Name/Company detailed Search" and a "Legal Documents Search", each needing a Payment Reference Number (PRN);
  • the paid search is run by registration number, and the report appears under "My Applications" in OBRS.

Uganda has no equivalent of Kenya's CR12, so call the report a URSB company search. No beneficial-ownership search is listed. File the dated report on the application as your reg 21(2)(a) comparison.

NGOs left the AML list of accountable persons in 2025 but are still customers needing due diligence. And regulated institutions have until 31 March 2027 to update their KYC and deal only with licensed large SACCOs (BoU notice, 28 September 2026). For groups, see chama and group account opening.

Who are the beneficial owners?

The AML Act defines a beneficial owner as "the natural person who ultimately owns or controls a customer or the natural person on whose behalf a transaction is conducted", including a person with "ultimate effective control" over a legal person or arrangement (s.1). Neither the AML Act nor the Companies Act sets a percentage. If you see 25% or 10% quoted for Uganda, it does not come from either Act or from BoU.

Bank of Uganda's 2022 CDD Guidelines give the working test (para 9.1):

  1. natural persons holding at least 5% of the company's shares;
  2. if in doubt, or no one controls through ownership, natural persons who control it by other means;
  3. failing both, the senior management official.

Shareholders of a listed company with adequate disclosure rules, or of its majority-owned subsidiary, need not be identified (para 9.1(d)). For foreign entities, reg 22(1)(g) uses 5% of the voting rights.

Regulation 26(4) lists wider exemptions, but it sits under the life-insurance heading and BoU gives only the listed-company one. The texts conflict; confirm with your supervisor before relying on it.

The company's beneficial owner register

Since the Companies (Amendment) Act 2022:

  • "A company with beneficial owners shall keep a register of its beneficial owners", with names, NIN, postal addresses and shareholdings (s.119A(1)).
  • The register may be kept with an agent, "but it shall not be kept at a place outside Uganda" (s.119A(2)(b)).
  • A notice and copy go to the registrar within fourteen days, with a daily default fine of twenty-five currency points (s.119A(3), (5)).

The Companies (Beneficial Owners) Regulations 2023 (SI 1/2023) set the particulars, including each owner's NIN and TIN (reg 3(1)). The company files Form 1 within fourteen days (reg 3(2) to (3)), and changes on Form 2. Form 1 records the nature of control: a percentage of shares or votes, the right to appoint or remove a majority of the board, or significant influence or control. LLPs and incorporated trustees keep their own registers.

Access. "On payment of the fee prescribed in Schedule 2 to these Regulations, a person may apply to the registrar to inspect the particulars of beneficial owners using Form 3" (reg 8(1)). Schedule 2 sets UGX 25,000 to inspect and UGX 25,000 per copy, and the registrar may set the time and conditions (reg 8(2)). We found no dedicated route for banks and no online BO search or API, so don't plan around instant lookups. Ask the company for an extract of its own register, and inspect URSB's record on Form 3 where risk calls for it.

Discrepancies. We found no duty to report a mismatch between what a company tells you and the URSB register, unlike Kenya (beneficial ownership at account opening, for Kenya). The general suspicious transaction reporting duty still applies if a mismatch is suspicious.

Directors, signatories and people acting for the company

Reg 21 asks for the people who manage, control or own the entity, and reg 21(2)(c) for independent verification of directors, senior management, shareholders and authorised persons. Then:

  • Proof of authority. Anyone acting for a customer must "provide proof of that person's authority to act in that capacity" (reg 27(1)), verified against what you hold (reg 27(2)).
  • Every signatory is a customer. Reg 2 defines "customer" to include "a signatory to a transaction or account" and "a person who is authorised to conduct a transaction", so each gets full CDD under reg 19, and reg 18(2)(b) requires you to verify their authority.

A board resolution naming the signatories and the operating mandate is one way to give the reg 21(1) authorisation; the 2010 list names it. See authorized signatories and signing mandates, and our KYC requirements guide for Uganda for the individual rules.

Tax ID and the registration number

The Regulations ask for a TIN "where applicable" for local entities (reg 21(1)(h)) and foreign entities (reg 22), and for every partner without that qualifier (reg 23(d)); the BO Regulations ask for each owner's TIN (reg 3(1)(e)). We found no provision in the Tax Procedures Code Act that requires a TIN to open a bank account.

The 2025 amendment (Act 11 of 2025) provides for the NIN and the URSB registration number to be used as tax identification numbers; URA asked taxpayers in May 2026 to update their records. The Act brings that section into force on a date set by statutory instrument, which we did not find, while URA's notice treats it as effective from 1 July 2025. The texts conflict, so confirm the position with URA or your adviser.

The names differ too. The Act says "registration number", URA says Business Registration Number (BRN), and URSB, building a Non-Individual Register in 2026, says Entity Registration Number (ERN). On your form, accept a legacy TIN or a registration number, and record which was given.

What changes in 2027 for business accounts?

From 1 January 2027, BoU caps over-the-counter cash withdrawals from corporate or business accounts at UGX 500 million a day and UGX 2.5 billion a week (individual accounts: UGX 50 million and UGX 250 million). Risk-based customer profiles can set lower limits (circular of 29 May 2026), so record the account type, expected activity and risk profile at opening.

Where BAOS fits

Whatever system you choose, check that it gives each director, owner and signatory their own record and documents, records ownership for the 5% test, holds the dated URSB search, and records the mandate. Our guide to KYB sets out the entity checks.

BAOS is the account-opening workflow that sits beside your identity-verification provider and your core banking system. The corporate accounts module covers 15 entity types, from sole proprietorships to SACCOs, NGOs and trusts. Directors, shareholders and beneficial owners are recorded with their ID and shareholding; BAOS does not calculate ownership or apply a threshold, so the 5% test stays with your reviewer. Signatories are recorded with one of eight operating mandates. Each person gets a document checklist that staff verify. BAOS lists every person who needs screening once each. Reviewers claim, verify, approve or reject, then record the account number from the core banking system.

No Uganda template ships, so your team builds the business form in the no-code form builder and adds Uganda's ID types to the option sets. Format checks ship for passport and phone numbers, not for Ugandan TINs or registration numbers. Fields can carry English and Swahili, Uganda's official and second official languages; the staff interface is English.

BAOS does not run URSB searches, inspect the BO register or check URA records. It does not screen against lists (Creodata's AML software for Uganda does), rate risk or book accounts in core banking.

Hosting. BAOS has two deployment options: from Azure Marketplace into your own Azure subscription, in the Azure region you choose, or on-premises in your own data centre, installed and supported by Creodata. Azure has no region in East Africa; the nearest are South Africa North and South Africa West. BoU's 2024 cyber and technology risk guidelines require supervised institutions to have in-country primary data centres and disaster recovery sites; where your data or systems must stay in Uganda, choose the on-premises deployment. The Enterprise AI features run on Azure AI services in East US 2 or Sweden Central, so that processing is not in Uganda.

Frequently asked questions

What documents are needed to open a company bank account in Uganda?

Proof of registration and its number, a certified authorisation to open the account, the IDs of the people who manage, control or own the company, and financial statements and a TIN where applicable (reg 21(1)).

What is the beneficial ownership threshold in Uganda?

The law sets none. BoU's 2022 CDD Guidelines use 5% of shares, then control by other means, then the senior management official (para 9.1). For foreign entities, reg 22(1)(g) uses 5% of voting rights.

How do I do a URSB company search?

On URSB's Online Business Registration System: the name search is free; the detailed search is paid with a Payment Reference Number and run by registration number.

Can a bank see a company's beneficial owner register?

Anyone may apply to inspect it on Form 3, paying UGX 25,000 (BO Regulations reg 8 and Schedule 2). We found no dedicated bank route and no online BO search.

Has the URSB registration number replaced the TIN?

The 2025 amendment provides for it to be used as a non-individual's tax identification number, and URA asked taxpayers in May 2026 to update their records. The commencement is unsettled, so accept either.
